The appointed Computer Engineer shall be responsible for the full lifecycle management of hardware and software systems, including but not limited to server architecture design, network topology configuration, cybersecurity protocol implementation, and ongoing technical support for a period of twelve (12) months from the commencement date.

The Computer Engineer engaged under this Purchase Order must hold a minimum of a BEng or MEng degree in Computer Engineering or a closely related discipline from a recognised United Kingdom institution, and must possess a minimum of eight (8) years of professional experience in enterprise-level systems engineering. The Computer Engineer shall be required to be physically present at the Birmingham, United Kingdom site for a minimum of four (4) days per week, with the remaining time allocated to remote consultancy and reporting duties.

• 6.1 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
• 6.2 The Computer Engineer appointed under this Purchase Order shall comply with all applicable United Kingdom data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, at all times while operating within the Birmingham, United Kingdom premises.
• 6.3 All deliverables produced by the Computer Engineer shall become the sole intellectual property of Meridian Technology Solutions Ltd. upon full payment of the amounts specified in this Purchase Order.
• 6.4 The supplier shall provide a minimum of fourteen (14) days' written notice prior to any substitution of the primary Computer Engineer assigned to this Purchase Order. Any replacement must meet or exceed the qualifications and experience criteria outlined in Section 4.
• 6.5 Payment shall be made via direct bank transfer to the account details provided by the supplier. Invoices must reference this Purchase Order number (MTS-2025-04871) to be processed within the agreed Net 30 payment terms.
• 6.6 The supplier warrants that the Computer Engineer shall maintain all necessary professional indemnity insurance with a minimum cover of £5,000,000 for the duration of this Purchase Order, valid within the United Kingdom.
• 6.7 Failure to meet the required delivery date of 01 August 2025 shall entitle Meridian Technology Solutions Ltd. to claim liquidated damages at a rate of £2,500 per calendar day of delay, up to a maximum of £25,000.
• 6.8 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination.
• 6.9 The Computer Engineer shall adhere to all health and safety regulations applicable to the Birmingham, United Kingdom workplace, including but not limited to the Health and Safety at Work etc. Act 1974.
• 6.10 All communications regarding this Purchase Order shall be directed to the designated contacts listed in Sections 2 and 3. Verbal agreements shall not constitute amendments to this Purchase Order.
