- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this Purchase Order regarding the Computer Engineer engagement shall be resolved in the courts of Cook County, United States Chicago.
- Payment Terms: Net 30 days from receipt of a valid invoice. Invoices shall be submitted monthly by the 5th business day. Payment shall be made via ACH transfer to the account designated by Apex Technical Talent Solutions LLC. Late payments shall accrue interest at 1.5% per month.
- Scope of Work: The Computer Engineer shall perform duties consistent with the job description attached as Exhibit A to this Purchase Order. The Computer Engineer shall report directly to the Director of Hardware Engineering at Meridian Systems, located in United States Chicago. All work product, intellectual property, and deliverables created during the engagement shall be the sole property of Meridian Systems Integration, Inc.
- Compliance and Background: The Computer Engineer must pass a comprehensive background check, drug screening, and reference verification prior to the start date. All personnel shall comply with Meridian Systems' code of conduct, data security policies, and applicable federal and Illinois state employment regulations.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of material breach by the Computer Engineer or the vendor, termination may be effective immediately upon written notice. Upon termination, all company property, access credentials, and work-in-progress documentation must be returned to the United States Chicago office within five business days.
- Insurance: Apex Technical Talent Solutions LLC shall maintain general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000 for the duration of this Purchase Order.
- Non-Compete and Confidentiality: The Computer Engineer shall be bound by a mutual non-disclosure agreement and a 12-month non-compete clause following the conclusion of this Purchase Order, applicable within a 50-mile radius of the United States Chicago metropolitan area.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in United States Chicago or the broader United States.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must reference this Purchase Order number PO-2025-CHIC-04872.

This document constitutes a binding agreement upon execution by both authorized signatories.
