- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon full execution by both parties. All terms herein shall be governed by and construed in accordance with the laws of the State of New York and the municipal codes applicable to United States New York City.
- The Computer Engineer engaged under this Purchase Order shall hold a valid New York State Professional Engineer (PE) license or equivalent certification in Computer Engineering. The Seller warrants that the Computer Engineer shall maintain all necessary credentials throughout the duration of the engagement.
- Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted to the Buyer's accounts payable department at the United States New York City headquarters. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
- The Computer Engineer shall be subject to the Buyer's internal policies, code of conduct, and security protocols while performing duties at the United States New York City facility. The Seller retains employment authority and payroll responsibility for the Computer Engineer.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall be liable for all services rendered and non-cancellable commitments through the effective date of termination.
- All intellectual property developed by the Computer Engineer in the course of performing duties under this Purchase Order shall be the sole property of the Buyer, as defined in the separate Intellectual Property Assignment Agreement referenced herein.
- The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the Buyer as an additional insured. Certificates of insurance shall be provided prior to the Computer Engineer's first day of service in United States New York City.
- Disputes arising from this Purchase Order shall be resolved through binding arbitration in New York County, United States New York City, in accordance with the rules of the American Arbitration Association.
The Computer Engineer shall commence active service no later than July 1, 2025, at the Buyer's designated office location at 350 Fifth Avenue, New York, NY 10118, United States New York City. The Seller shall ensure that all onboarding documentation, security clearances, and facility access credentials are completed no fewer than five (5) business days prior to the commencement date.
