Payment for this Purchase Order shall be made in monthly installments within 15 business days of invoice receipt. The first payment, covering the initial onboarding package and the first month of Computer Engineer services, shall be due within 10 business days of the contract commencement date in Vietnam Ho Chi Minh City. All payments shall be processed via bank transfer to the supplier's designated account. Late payments shall incur a penalty of 0.05% per day as stipulated under Vietnamese commercial law.
- This Purchase Order constitutes a binding agreement between TechBridge Solutions Co., Ltd. and HCMC Engineering Talent Agency for the provision of a Computer Engineer in Vietnam Ho Chi Minh City.
- The Computer Engineer shall comply with all applicable Vietnamese labor laws, data protection regulations, and intellectual property statutes governing operations in Vietnam Ho Chi Minh City.
- All source code, designs, and intellectual property created by the Computer Engineer during the term of this Purchase Order shall be the exclusive property of TechBridge Solutions Co., Ltd.
- The supplier guarantees that the Computer Engineer possesses a minimum of 5 years of professional experience in software engineering, computer architecture, or a closely related technical discipline.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Computer Engineer shall complete all in-progress deliverables and hand over documentation before departing the Vietnam Ho Chi Minh City office.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Vietnam Ho Chi Minh City in accordance with the rules of the Vietnam International Arbitration Centre (VIAC).
- This Purchase Order is governed by the laws of the Socialist Republic of Vietnam, including all regulations applicable to professional services engagements in Vietnam Ho Chi Minh City.
