- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, specifically the Algerian Public Procurement Code (Law No. 23-12) and the Civil Code of Algeria. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Algiers, Algeria.
- Scope of Work: The Curriculum Developer (Sahara Educational Solutions SARL) shall perform all services described in the line items above in strict compliance with the Algerian national education framework, the directives of the Ministry of National Education, and the pedagogical standards established by the Algerian Directorate of Curriculum Development. All deliverables must be culturally appropriate for the Algerian educational context and available in both Arabic and French.
- Delivery and Location: All physical deliverables, workshops, and review meetings shall be conducted in Algeria, Algiers, at the premises of the Ministry of National Education or at alternative locations mutually agreed upon in writing. The Curriculum Developer shall bear all costs associated with travel, accommodation, and logistics within the Algiers wilaya.
- Payment Schedule: Payment shall be made via bank transfer to the vendor's account in Algeria. The 40% advance payment shall be released within 15 business days of the signed Purchase Order. The 40% mid-term payment shall be released upon written approval of the interim deliverables by the Director of Pedagogical Affairs. The final 20% shall be released upon full acceptance of all deliverables and completion of the 12-month support period.
- Intellectual Property: All curriculum materials, lesson plans, assessment tools, and training modules developed under this Purchase Order shall become the exclusive property of the Algerian Ministry of National Education upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios but may not reproduce or distribute the materials without written authorization.
- Quality Assurance: The Curriculum Developer shall submit all deliverables for review at least 15 business days before the stated delivery date. The Buyer reserves the right to request revisions at no additional cost if deliverables do not meet the specifications outlined in the Scope of Work document (SOW-CD-2025-ALG).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and internal Ministry documents shared during the execution of this Purchase Order. This obligation shall survive the termination of the contract for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. In the event of termination, the Curriculum Developer shall be compensated for all work completed and accepted up to the date of termination, less any penalties as stipulated in the Contract Agreement.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies as declared by the Algerian authorities in Algiers.
- Compliance with Algerian Regulations: The Curriculum Developer warrants that all services rendered under this Purchase Order comply with Algerian labor laws, tax obligations, and educational regulations. The vendor shall maintain all necessary licenses and registrations valid throughout the duration of the contract.
