- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
- Intellectual Property: All curriculum materials, frameworks, assessments, digital resources, and intellectual property created by the Curriculum Developer under this Purchase Order shall become the sole property of the Sydney Metropolitan Education Authority upon full payment. The Curriculum Developer retains no rights to reproduce, distribute, or license the materials without prior written consent.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, school operational information, and proprietary SMEA materials encountered during the course of this engagement, in compliance with the Privacy Act 1988 (Cth) and the NSW Information Privacy & Protection Act 1998.
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with the Australian Curriculum (ACARA), NESA syllabus requirements, the NSW Education Act 1990, and all applicable anti-discrimination and equal opportunity legislation in force in Australia Sydney.
- Payment Schedule: Payment shall be made in accordance with the following schedule: 20% upon execution of this Purchase Order, 30% upon completion of Milestone 2, 30% upon completion of Milestone 4, and the remaining 20% upon final acceptance of all deliverables at Milestone 5. Invoices shall be submitted to the SMEA Finance Department, Level 12, 200 George Street, Sydney NSW 2000.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and accepted up to the date of termination, less any amounts already paid.
- Insurance: The Curriculum Developer shall maintain professional indemnity insurance of no less than AUD $5,000,000 and public liability insurance of no less than AUD $10,000,000 for the duration of this engagement.
- Warranty: The Curriculum Developer warrants that all services and deliverables shall be performed in a professional and workmanlike manner, free from material defects, and in accordance with the highest standards of curriculum design practice in Australia.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Australia Sydney region.
This Purchase Order is authorised and approved by the undersigned officers of the Sydney Metropolitan Education Authority. By signing below, the Curriculum Developer acknowledges acceptance of all terms, conditions, and scope of work outlined in this Purchase Order.
