Payment for this Purchase Order shall be made in three installments via bank transfer (TED/PIX) to the Curriculum Developer's registered account, subject to acceptance of deliverables by the Buyer's Quality Assurance Committee:

- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, specifically Federal Law No. 14.133/2021 (Public Procurement Law) and the Civil Code. All disputes arising from this Purchase Order shall be resolved in the competent courts of Brazil Brasília, Federal District.
- Intellectual Property: All Curriculum Developer materials, frameworks, templates, and assessment instruments produced under this Purchase Order shall become the exclusive property of the Instituto Federal de Brasília upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all institutional data, student information, and internal pedagogical strategies encountered during the execution of this Purchase Order in Brazil Brasília.
- Compliance: The Curriculum Developer warrants that all deliverables comply with the BNCC, the Federal District Education Plan (PDE-DF 2024–2033), and applicable CNE resolutions. Non-compliance shall constitute grounds for rejection of deliverables without penalty to the Buyer.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Curriculum Developer shall be compensated for work completed and accepted up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting Brazil Brasília.
- Anti-Corruption: The Curriculum Developer certifies that no part of the compensation under this Purchase Order has been or will be offered as a bribe or improper inducement to any public official in Brazil Brasília.
