5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of Curriculum Developer services within the Canada Montreal region. All work shall be performed in accordance with the professional standards expected of a Curriculum Developer operating under Canadian educational regulations.
5.2 The Curriculum Developer shall comply with all applicable federal and provincial laws of Canada, including the Quebec Education Act, the Personal Information Protection Act (PIPA), and all data privacy regulations relevant to the Canada Montreal jurisdiction.
5.3 Payment shall be made within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Canadian Commercial Code.
5.4 All intellectual property created by the Curriculum Developer under this Purchase Order shall become the sole property of the Buyer upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
5.5 The Vendor shall provide a minimum of fourteen (14) days' written notice for any schedule changes. The Curriculum Developer shall make reasonable efforts to accommodate the Buyer's Canada Montreal campus calendar, including closures for Quebec provincial holidays.
5.6 This Purchase Order is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Association.
5.7 The Curriculum Developer shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 for the duration of this engagement.
5.8 Cancellation by either party requires thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the date of termination.
6. ACCEPTANCE & AUTHORIZATIONBy signing below, both parties acknowledge and agree to the terms outlined in this Purchase Order for the engagement of the Curriculum Developer in Canada Montreal. This document serves as the formal authorization for the Vendor to commence work as specified in Section 4.
