- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes shall be resolved through arbitration in Toronto, Ontario, in accordance with the Arbitration Act (Ontario).
- Intellectual Property: All curriculum materials, frameworks, lesson plans, and assessment instruments developed under this Purchase Order shall become the sole and exclusive property of the Toronto Metropolitan Learning Institute upon full payment. The Curriculum Developer retains no rights to reproduce, distribute, or license the deliverables without written consent.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, institutional strategies, and proprietary information encountered during the engagement in Canada Toronto, in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Ontario's Freedom of Information and Protection of Privacy Act (FIPPA).
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with the Ontario Curriculum: Grades 1–8 and Ontario Curriculum: Grades 9–12 (2022 revision), the Education Act (Ontario), and all applicable Canada Toronto district board policies.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the termination date. In the event of termination for cause, the Vendor shall refund any prepayments for undelivered milestones.
- Insurance: The Curriculum Developer shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of no less than $5,000,000, with the Toronto Metropolitan Learning Institute named as an additional insured.
- Accessibility: All curriculum materials shall meet the Accessibility for Ontarians with Disabilities Act (AODA) requirements and be fully accessible to students with diverse learning needs within the Canada Toronto school community.
- Anti-Corruption: The Vendor certifies compliance with the Corruption of Foreign Public Officials Act (CFPOA) and all applicable Canadian anti-bribery and anti-corruption legislation.
- Payment Method: All payments shall be made via electronic funds transfer (EFT) to the Vendor's designated Canadian bank account in Canada Toronto. Invoices must reference this Purchase Order number (TOR-CD-2025-04872).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Canada Toronto.
