- Governing Jurisdiction: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Chile. All disputes arising from this engagement between the issuing party and the Curriculum Developer shall be resolved in the competent courts of Chile Santiago, Metropolitan Region.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of the complete curriculum package by the Curriculum Developer, and 30% upon successful completion of the 12-month support period. All payments shall be processed via bank transfer to the account designated by the Curriculum Developer, subject to the presentation of a valid Factura Electrónica in compliance with the Servicio de Impuestos Nacionales (SII) of Chile.
- Delivery and Acceptance: The Curriculum Developer shall deliver all curriculum materials, training modules, and assessment instruments to the offices of Empresa Educativa del Pacífico SpA located in Chile Santiago no later than October 30, 2025. Acceptance shall be confirmed in writing within fifteen (15) business days of delivery.
- Intellectual Property: All curriculum materials, designs, assessments, and related intellectual property created by the Curriculum Developer under this Purchase Order shall become the exclusive property of Empresa Educativa del Pacífico SpA upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all proprietary data, student information, and institutional strategies shared during the engagement in Chile Santiago. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance with Chilean Labor and Tax Law: The Curriculum Developer shall operate as an independent contractor and shall be solely responsible for the payment of all applicable taxes, social security contributions (AFC), and any other obligations under Chilean law. This Purchase Order does not create an employer-employee relationship.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for all services rendered up to the date of termination, and all partially completed curriculum materials shall be delivered to the issuing party.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Chile Santiago.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Curriculum Developer services in Chile Santiago. The Curriculum Developer confirms acceptance of all terms, scope, and deliverables outlined herein. The issuing party confirms authorization of the expenditure and commitment to timely payment as stipulated.
