This Purchase Order is issued by Guangzhou International Education Development Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Curriculum Solutions International Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Curriculum Developer to design, develop, and deliver a comprehensive K-12 bilingual curriculum framework for implementation across the Buyer's network of partner schools located in China Guangzhou. The Curriculum Developer shall be responsible for the full lifecycle of curriculum design, including needs assessment, learning objective formulation, content authoring, assessment design, teacher training materials, and ongoing pedagogical review, all tailored to the specific educational standards and regulatory requirements of the Guangzhou Municipal Education Bureau.

The Curriculum Developer engaged under this Purchase Order shall deliver the following milestones, all of which must be completed and approved within the China Guangzhou operational context:

• Milestone 1 (Weeks 1–6): Comprehensive needs assessment and stakeholder consultation with school administrators, subject teachers, and the Guangzhou Municipal Education Bureau representatives. Delivery of a Curriculum Design Blueprint.
• Milestone 2 (Weeks 7–16): Full authoring of K-12 curriculum content across Mathematics, Science, English Language, and Social Studies, incorporating bilingual (Mandarin English) instructional materials.
• Milestone 3 (Weeks 17–24): Development of assessment instruments, learning progressions, and differentiated instruction strategies. Completion of the Teacher Training Manual.
• Milestone 4 (Weeks 25–36): Pilot implementation in 4 partner schools in China Guangzhou, collection of formative feedback, and iterative revision of all curriculum materials.
• Milestone 5 (Weeks 37–48): Finalization of all deliverables, completion of IP transfer documentation, and submission of the Final Project Report to the Buyer.

All payments shall be made via bank transfer to the Supplier's designated account in RMB (CNY). The Buyer reserves the right to withhold any tranche if the corresponding deliverables do not meet the quality standards specified in this Purchase Order.

1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this agreement shall be resolved through arbitration in Guangzhou, Guangdong Province, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
2. The Curriculum Developer shall comply with all applicable regulations of the Guangzhou Municipal Education Bureau, the Ministry of Education of the People's Republic of China, and all local educational standards in force in China Guangzhou at the time of delivery.
3. All intellectual property created by the Curriculum Developer under this Purchase Order shall, upon full payment, become the sole property of the Buyer. The Supplier shall execute all necessary assignment documents.
4. The Supplier warrants that the Curriculum Developer assigned to this project holds a minimum of a Master's degree in Curriculum Design, Educational Technology, or a related field, and possesses no fewer than eight (8) years of professional experience in K-12 curriculum development.
5. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information, student data, and internal educational strategies shared during the course of this engagement in China Guangzhou.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and approved deliverables up to the date of termination.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Guangzhou.
8. Warranty: The Supplier warrants that all curriculum materials shall be free from defects in design and content for a period of twelve (12) months following final acceptance. Any material errors discovered within this period shall be corrected at the Supplier's sole expense.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Curriculum Developer for educational services to be delivered in China Guangzhou.
