This Purchase Order is issued by Shanghai International Education Consortium Co., Ltd. to formally engage the services of a qualified Curriculum Developer for the design, development, and implementation of a comprehensive K-12 bilingual curriculum framework. The Curriculum Developer shall be based and operate primarily within China Shanghai, ensuring full compliance with the Ministry of Education of the People's Republic of China regulations, the Shanghai Municipal Education Commission guidelines, and all applicable local educational standards governing curriculum design and delivery in the China Shanghai metropolitan region.

The Curriculum Developer shall be responsible for the following scope of work as specified under this Purchase Order:

3. DELIVERY SCHEDULE AND MILESTONES

The Curriculum Developer shall adhere to the following delivery schedule as stipulated in this Purchase Order. All deliverables must be submitted to the Buyer's office located in China Shanghai unless otherwise agreed in writing:

4. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, including all applicable regulations of the China Shanghai Municipal Government pertaining to educational services and foreign service engagements.
  2. Intellectual Property: All curriculum materials, frameworks, textbooks, and digital assets developed by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Curriculum Developer retains no residual rights to the final deliverables.
  3. Compliance: The Curriculum Developer warrants that all curriculum content shall comply with the National Curriculum Standards of the People's Republic of China, the Shanghai Municipal Education Regulations, and all relevant cultural and political guidelines applicable in China Shanghai.
  4. Payment Schedule: Payment shall be made in four (4) equal installments of CNY 401,750.00 each, due upon successful completion and written acceptance of Milestones 1, 2, 3, and 5 respectively. All payments shall be made via bank transfer to the account designated by the Supplier.
  5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials to the Buyer, and payment shall be made pro-rata for services rendered up to the termination date.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Shanghai International Arbitration Center in China Shanghai.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting China Shanghai.
5. AUTHORIZED SIGNATURES

This Purchase Order is effective upon execution by both parties. The undersigned hereby confirm that they are duly authorized to bind their respective organizations to the terms and conditions set forth in this Purchase Order for the engagement of the Curriculum Developer in China Shanghai.
