- Scope of Work: The Curriculum Developer shall deliver all curriculum materials, digital assets, and training services as specified in the line items above. All deliverables must comply with the regulatory framework established by the Ministerio de Educación Nacional (MEN) of Colombia and the Secretaría de Educación del Distrito Capital de Bogotá.
- Delivery Schedule: Initial curriculum drafts shall be submitted within 45 calendar days of the effective date of this Purchase Order. Final deliverables, including all modules, assessment tools, and the digital platform, must be completed and delivered no later than October 30, 2025, for implementation in the Colombia Bogotá 2026 academic year.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon contract execution, 40% upon delivery of all curriculum materials and digital assets, and 30% upon successful completion of teacher training workshops and final acceptance in Colombia Bogotá. All payments shall be processed via bank transfer to the account specified by the vendor.
- Intellectual Property: All curriculum materials, digital content, assessment instruments, and associated documentation developed under this Purchase Order shall become the exclusive property of Instituto Educativo del Norte S.A.S. upon full payment. The Curriculum Developer retains no rights to reproduce, distribute, or license the materials without written consent.
- Quality Assurance: The Curriculum Developer shall conduct internal quality reviews at each milestone. A joint review committee comprising representatives from the buyer and the vendor shall evaluate all deliverables against the agreed-upon specifications before final acceptance in Colombia Bogotá.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies shared during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials, and the buyer shall compensate for services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through arbitration in Colombia Bogotá, in accordance with the rules of the Cámara de Comercio de Bogotá.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Colombia Bogotá region.
