Payment shall be made in four (4) installments corresponding to the milestones outlined in Section 4. Each installment will be due within fifteen (15) business days following written acceptance of the corresponding deliverable by the Director of Academic Affairs. Payment will be processed via bank transfer to the account designated by InnovEduca Colombia S.A.S. All amounts are denominated in Colombian Pesos (COP) and are subject to the applicable 19% IVA as established by the Colombian tax authority (DIAN). No payment shall be released until the Curriculum Developer submits the corresponding invoice (factura electrónica) in compliance with Colombian electronic invoicing regulations.

This Purchase Order constitutes a binding agreement between the Universidad de Antioquia and InnovEduca Colombia S.A.S. for the provision of Curriculum Developer services exclusively within the city of Colombia Medellín and its metropolitan area.
The Curriculum Developer shall comply with all applicable Colombian labor laws, intellectual property regulations (Ley 23 de 1982), and data protection norms (Ley 1581 de 2012) throughout the duration of this engagement.
All curriculum materials, documentation, and digital assets produced under this Purchase Order shall become the exclusive intellectual property of the Universidad de Antioquia upon full payment.
The Curriculum Developer is required to maintain professional liability insurance with a minimum coverage of COP 200,000,000, valid throughout the project period in Colombia Medellín.
Any changes to scope, timeline, or deliverables must be documented in a formal amendment to this Purchase Order, signed by both parties, and shall not exceed 10% of the original contract value without a new procurement process.
Disputes arising from this agreement shall be resolved through mediation in the city of Colombia Medellín in accordance with the Colombian Code of Civil Procedure (Código General del Proceso, Ley 1564 de 2012).
The Curriculum Developer shall provide weekly progress reports to the Office of Academic Planning and shall be available for in-person meetings at the Medellín campus no fewer than two (2) times per week during active development phases.
Failure to meet any milestone deadline by more than ten (10) business days without written justification shall entitle the purchasing entity to withhold the corresponding payment installment and, if the delay exceeds thirty (30) days, to terminate this Purchase Order with a penalty of 5% of the remaining contract value.

This Purchase Order is authorized and approved for execution. The Curriculum Developer services described herein are essential to the academic modernization plan of the Universidad de Antioquia in Colombia Medellín for the 2025–2026 academic year.
