Payment for services rendered under this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account designated by the Supplier. The payment schedule is as follows:

1. The Curriculum Developer shall maintain professional liability insurance valid throughout the duration of this Purchase Order and the entire period of service delivery in DR Congo Kinshasa.
2. All intellectual property rights in the curriculum materials developed under this Purchase Order shall vest in the Buyer upon full payment. The Curriculum Developer retains the right to reference the work in professional portfolios with prior written consent.
3. The Supplier shall ensure that the Curriculum Developer possesses a minimum of eight (8) years of experience in curriculum design, with at least three (3) years of experience working in sub-Saharan African educational contexts, preferably within DR Congo Kinshasa or neighboring regions.
4. Any modification to the scope, timeline, or deliverables of this Purchase Order must be documented in a written amendment signed by both parties. No verbal changes shall be binding.
5. The Supplier shall comply with all labor, tax, and regulatory obligations in DR Congo Kinshasa, including the registration of the Curriculum Developer with the relevant local authorities.
6. In the event of force majeure (including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa), either party may suspend performance without penalty, provided written notice is given within 72 hours of the event.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Kinshasa, DR Congo, and, failing resolution within 60 days, through arbitration under the rules of the OHADA Arbitration Court.
