- This Purchase Order is governed by the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code and the Public Procurement Law No. 182 of 2018 (as amended). All disputes arising from this Purchase Order shall be resolved through the competent courts in Cairo, Egypt.
- The Curriculum Developer shall commence all services within fourteen (14) calendar days of the formal acceptance of this Purchase Order. The total project duration shall not exceed fourteen (14) months from the start date, with milestone-based progress reviews conducted monthly in the Authority's office in Downtown Cairo.
- All curriculum materials produced by the Curriculum Developer must be developed in both Arabic and English, with full compliance to the Egyptian national educational standards, the Cairo Governorate's specific regional requirements, and the UNESCO-recommended learning outcomes framework.
- Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the supplier's registered account in Egypt. Payment schedule: 20% upon contract signing, 30% upon completion of curriculum design (Line Items 1 & 2), 25% upon completion of training and assessment tools (Line Items 3 & 4), 15% upon digital platform delivery (Line Item 5), and 10% upon final acceptance and handover (Line Items 6 & 7).
- The Curriculum Developer shall maintain all intellectual property rights in a manner that grants the Nile Delta Educational Development Authority perpetual, royalty-free, and irrevocable rights to use, modify, and distribute all deliverables across all public schools in Egypt Cairo and, upon mutual agreement, other Egyptian governorates.
- The Curriculum Developer is required to employ a minimum of eight (8) full-time educational specialists, including at least two (2) senior curriculum architects with a minimum of ten (10) years of experience in the Egyptian education system. All key personnel must be based in or regularly available in Cairo, Egypt, for the duration of the project.
- Any change in scope, timeline, or deliverables must be documented through a formal Change Order signed by both parties. No verbal modifications to this Purchase Order shall be binding.
- The Curriculum Developer shall provide a comprehensive project risk management plan within the first thirty (30) days, addressing potential delays, resource constraints, and quality risks specific to the Egypt Cairo educational infrastructure.
- Confidentiality: All data, student information, and internal Authority documents shared with the Curriculum Developer during the execution of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written consent, in accordance with Egypt's Personal Data Protection Law No. 151 of 2020.
- This Purchase Order becomes effective upon signature by both parties and remains valid until full completion of all deliverables and final payment. The Curriculum Developer shall issue a formal Certificate of Completion upon final acceptance by the Authority's Quality Assurance Committee in Cairo.
