  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
  2. Place of Performance: All services rendered by the Curriculum Developer shall be performed primarily at the buyer's premises located in France Lyon, 69004, or at such other locations within the France Lyon metropolitan area as mutually agreed in writing. The Curriculum Developer acknowledges that France Lyon serves as the principal operational base for this engagement.
  3. Timeline: The Curriculum Developer shall commence work no later than 1 September 2025 and shall deliver all final curriculum materials by 31 January 2026. Interim deliverables are due at the end of each phase as outlined in the project schedule annexed to this Purchase Order.
  4. Payment Terms: Payment shall be made in four equal instalments of EUR 28,150.00, due upon completion and written acceptance of each project phase. A 1.5% monthly late-payment penalty shall apply in accordance with French commercial law (Article L441-10 du Code de commerce).
  5. Intellectual Property: All curriculum materials, modules, assessment tools, and pedagogical documents created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the buyer upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
  6. Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies encountered during the course of work in France Lyon. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Compliance: The Curriculum Developer warrants that all deliverables shall comply with the French national education standards, the regional directives of the Académie de Lyon, and applicable European Union directives on vocational education and training. The Curriculum Developer shall hold a minimum of a Master's degree in Curriculum Design, Educational Technology, or a closely related discipline, with a minimum of five (5) years of professional experience in curriculum development.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and accepted up to the date of termination, less any applicable deductions.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates affecting operations in France Lyon, or public health emergencies.
  10. Acceptance and Signatures: This Purchase Order becomes binding upon signature by both parties. The Curriculum Developer's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications herein.

The Curriculum Developer is required to conduct a minimum of two (2) on-site stakeholder workshops per month at the buyer's facility in France Lyon. All curriculum content must incorporate the regional economic priorities of the Auvergne-Rhône-Alpes region, with particular emphasis on the advanced manufacturing and aerospace sectors prevalent in the France Lyon industrial corridor.
