Payment shall be made via bank transfer to the account designated by the Curriculum Developer's firm, ÉduDesign Curriculum Solutions SARL, in accordance with French commercial invoicing regulations. The total amount of this Purchase Order shall be disbursed in three installments: (a) 30% upon execution of this Purchase Order and confirmation of the project kickoff in France Marseille; (b) 50% upon delivery and acceptance of the Core Curriculum Framework and Assessment Instruments (Line Items LI-02 and LI-03); and (c) the remaining 20% upon final handover of all deliverables, including the pilot implementation report and version-controlled documentation package. Invoices must reference this Purchase Order number (PO-2025-FR-0472) and shall be payable within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
All deliverables produced by the Curriculum Developer must be submitted in both digital (PDF, editable source files) and printed formats to the designated project manager at the France Marseille headquarters. Acceptance of each deliverable shall be confirmed in writing within ten (10) business days of submission. The Curriculum Developer warrants that all curriculum materials shall comply with the French data protection regulations (RGPD / GDPR), the French intellectual property code, and the specific pedagogical guidelines issued by the Ministry of National Education. Any deliverable that fails to meet the agreed quality criteria shall be returned to the Curriculum Developer for revision at no additional cost to the issuing entity. The Curriculum Developer shall maintain full confidentiality regarding all proprietary institutional data encountered during the engagement in France Marseille.
- This Purchase Order is governed by the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille (Tribunal de Commerce de Marseille).
- The Curriculum Developer shall not subcontract any portion of the work without prior written consent from the issuing entity. Any approved subcontractor must be based in France and comply with all applicable French labour and social security regulations.
- The Curriculum Developer shall carry professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of 500,000 EUR for the duration of this Purchase Order.
- All intellectual property rights in the final curriculum deliverables shall vest exclusively in Académie de Provence Formation upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios, subject to a 90-day embargo period.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and accepted up to the termination date, as documented in France Marseille project records.
- The Curriculum Developer shall attend all scheduled project review meetings held at the France Marseille office or via secure videoconference, and shall provide weekly progress reports in French and English.
- This Purchase Order does not create an employment relationship. The Curriculum Developer is engaged as an independent service provider under the terms of a French contract for services (contrat de prestation de services).
