Payment under this Purchase Order shall be made in accordance with the following schedule, all transactions processed through the Buyer's accounts payable department located in France Paris:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Intellectual Property: All curriculum materials, instructional designs, assessments, and digital resources created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
- Compliance: The Curriculum Developer shall ensure all deliverables comply with the French Code de l'Éducation, the directives of the Ministère de l'Éducation Nationale, and all applicable regulations within France Paris. The Curriculum Developer warrants that no content shall violate French intellectual property, data protection (RGPD/GDPR), or educational standards.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive termination for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Curriculum Developer for all services rendered and materials delivered up to the date of termination, pro-rated accordingly.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting France Paris.
- Quality Assurance: The Buyer reserves the right to request revisions of any Curriculum Developer deliverable within fifteen (15) business days of receipt. The Curriculum Developer shall address all reasonable revision requests at no additional cost.
- Working Location: All on-site meetings, workshops, and collaborative sessions under this Purchase Order shall take place at the Buyer's premises in France Paris or at mutually agreed locations within the France Paris metropolitan area.
