This Purchase Order is issued by Frankfurt Educational Consortium GmbH (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Curriculum Developer for the design, development, and implementation of a comprehensive secondary-education curriculum framework. The Curriculum Developer shall operate out of the Buyer's principal office located in Germany Frankfurt (Frankfurt am Main, Hesse) and shall deliver all work products in accordance with the pedagogical standards established by the Hessian State Ministry of Education (Hessisches Kultusministerium) and the national framework curricula (Bildungspläne) of the Federal Republic of Germany.

The Curriculum Developer engaged under this Purchase Order shall be responsible for the following scope of work:

  1. Conducting a needs assessment across all twelve partner schools in the Frankfurt metropolitan region to identify gaps in the existing curriculum structure.
  2. Designing a modular, competency-based curriculum framework aligned with the KMK (Kultusministerkonferenz) standards for secondary education (Sekundarstufe I and II).
  3. Developing detailed learning objectives, assessment rubrics, and instructional sequencing for the subjects of Mathematics, Natural Sciences, German Language, and European Studies.
  4. Producing teacher training materials and professional development workshops to be delivered at the Frankfurt am Main campus.
  5. Providing ongoing pedagogical consultation and iterative refinement of the curriculum over a twelve-month implementation period.

All deliverables under this Purchase Order shall be submitted to the Buyer's designated project manager at the Frankfurt Educational Consortium office in Frankfurt am Main, Germany. The Curriculum Developer shall provide interim progress reports on a bi-weekly basis. Final acceptance of each module shall be confirmed in writing by the Buyer within fifteen (15) business days of delivery. Failure to issue a written objection within this period shall constitute deemed acceptance under the terms of this Purchase Order.

  1. Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer to the account specified by the Curriculum Developer within thirty (30) days of invoice receipt. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
  2. Intellectual Property: All curriculum materials, frameworks, assessments, and documentation produced by the Curriculum Developer under this Purchase Order shall become the exclusive property of Frankfurt Educational Consortium GmbH upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
  3. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary educational data, student information, and internal pedagogical strategies shared during the course of this engagement in Germany Frankfurt. This obligation survives termination of this Purchase Order for a period of five (5) years.
  4. Compliance: The Curriculum Developer shall comply with all applicable German and European data protection regulations, including the GDPR (DSGVO), and shall ensure that all curriculum content adheres to the anti-discrimination provisions of the Hessian School Act (HSchG).
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables accepted up to the effective date of termination.
  6. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Frankfurt am Main, Germany, before submission to the competent courts of Frankfurt am Main. The German language shall govern all legal proceedings.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated school closures in the Frankfurt region.

This Purchase Order is effective upon signature by both parties. The Curriculum Developer acknowledges receipt of this Purchase Order and agrees to perform the services described herein in full compliance with the terms set forth above.
