This Purchase Order is issued by Bavarian Educational Innovation GmbH (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Curriculum Developer services from Dr. Markus Steinbach & Associates (hereinafter referred to as the "Supplier"). The Curriculum Developer shall design, develop, and deliver a comprehensive, standards-aligned curriculum framework for the Buyer's new vocational training programme targeting the technology and engineering sectors in the Munich metropolitan region.
The Curriculum Developer is expected to produce a full instructional architecture that includes learning objectives, modular content units, assessment instruments, pedagogical strategies, and a detailed implementation roadmap. All deliverables must comply with the German Framework for Qualifications (Deutscher Qualifikationsrahmen, DQR) and align with the Bavarian State Ministry of Education and Cultural Affairs (Bayerisches Staatsministerium für Bildung und Kultus, Wissenschaft und Kunst) guidelines currently in force in Germany Munich and the broader Bavarian region.

- Acceptance: This Purchase Order constitutes a binding offer. The Supplier shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Scope of Work: The Curriculum Developer shall perform all services in accordance with the specifications outlined in Section 2 and the attached Statement of Work (SOW-2025-MUC-04782-A). Any deviation from the agreed scope requires a written change order signed by both parties.
- Payment: Invoicing shall be issued upon completion of each milestone. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB), applicable in Germany Munich and throughout the Federal Republic of Germany.
- Intellectual Property: Upon full payment, all curriculum materials, documentation, and intellectual property created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Buyer. The Supplier retains the right to reference the engagement in professional portfolios with prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this Purchase Order, in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and milestones completed up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. Should negotiation fail, the competent courts in Munich, Germany shall have exclusive jurisdiction. The applicable law is that of the Federal Republic of Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, governmental actions, or public health emergencies affecting the Munich region.
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with current German educational regulations, Bavarian state standards, and the DQR framework. The Supplier shall bear all costs associated with regulatory non-compliance.
- Anti-Corruption: Both parties affirm compliance with the German Anti-Corruption Act (StGB §§ 299, 331–338) and shall not engage in any form of bribery or corrupt practice in connection with this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Curriculum Developer services in Germany Munich. This document is executed in two (2) original copies, one for each party.
