The Curriculum Developer shall be based in and operate out of India Bangalore, providing on-site and remote instructional design services to support the development, revision, and localization of academic curricula for K-12 and higher education programs.

The Curriculum Developer engaged under this Purchase Order shall possess a minimum of eight (8) years of experience in instructional design, pedagogy, and curriculum architecture. The role requires deep familiarity with the National Curriculum Framework (NCF) of India, CBSE, ICSE, and state board standards applicable in the India Bangalore region. The Curriculum Developer shall work in coordination with the buyer's academic affairs team located at the Whitefield campus in India Bangalore.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services described herein shall be rendered by the designated Curriculum Developer or developers as specified in Section 3.
2. The Curriculum Developer shall report to the Buyer's Academic Director at the designated office in India Bangalore (Whitefield campus) on a minimum of four (4) days per week. Remote work from the India Bangalore area is permissible for up to one (1) day per week with prior written approval.
3. All deliverables produced by the Curriculum Developer shall be subject to a two-stage review process. The first review shall be conducted by the Buyer's internal academic team, and the second review shall involve external subject-matter experts based in India Bangalore.
4. Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the mid-project milestone (end of Month 3), and 30% upon final acceptance of all deliverables. Payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in India Bangalore.
5. The Curriculum Developer shall maintain strict confidentiality regarding all proprietary educational content, student data, and institutional information encountered during the engagement. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement of work.
6. Intellectual property rights for all curricula, modules, assessments, and training materials developed under this Purchase Order shall vest exclusively with the Buyer upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
7. Any disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996 of India. The governing law shall be the laws of India.
8. The Supplier shall ensure that the Curriculum Developer complies with all applicable labor laws, tax regulations, and professional standards in the state of Karnataka, India Bangalore.
9. This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be considered valid.
10. The Supplier shall provide a comprehensive project report and handover documentation upon completion of the engagement, including all source files, design documents, and version histories maintained by the Curriculum Developer.
