This Purchase Order is issued by EduVision Learning Solutions Pvt. Ltd., Mumbai, to engage the services of a qualified Curriculum Developer for the design, development, and delivery of comprehensive academic curricula. - Acceptance: This Purchase Order becomes binding upon written acceptance by the Curriculum Developer. The Curriculum Developer shall sign and return a copy of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall be construed as acceptance of all terms herein.
- Delivery and Location: All physical deliverables, including printed curriculum materials, assessment kits, and training handouts, shall be delivered to the Buyer's office at Andheri East, Mumbai, Maharashtra, India. All on-site workshops, training sessions, and review visits conducted by the Curriculum Developer shall take place at locations within the Mumbai metropolitan area unless otherwise agreed in writing.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon delivery and acceptance of all curriculum materials, and 20% upon completion of the final quarterly review. All payments shall be made via NEFT/RTGS to the bank account designated by the Curriculum Developer. The Buyer shall deduct TDS (Tax Deducted at Source) at the applicable rate as per the Income Tax Act, 1961, India.
- Intellectual Property: All curriculum materials, lesson plans, assessment tools, and related intellectual property created by the Curriculum Developer under this Purchase Order shall become the exclusive property of EduVision Learning Solutions Pvt. Ltd. upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios and academic publications, subject to prior written approval from the Buyer.
- Quality Standards: The Curriculum Developer warrants that all deliverables shall conform to the National Curriculum Framework (2005, revised), CBSE/ICSE syllabus requirements, and the specific pedagogical standards outlined in the Statement of Work attached to this Purchase Order. Any deliverable found to be non-compliant shall be revised at no additional cost to the Buyer.
- Confidentiality: The Curriculum Developer shall maintain strict confidentiality regarding all proprietary information, student data, institutional strategies, and internal documents of the Buyer and its partner schools in Mumbai. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials delivered up to the date of termination. The Curriculum Developer shall deliver all work-in-progress materials to the Buyer within seven (7) days of the termination notice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Mumbai region, provided that the affected party notifies the other in writing within 48 hours.
- Compliance: The Curriculum Developer confirms compliance with all applicable Indian labor laws, tax regulations, and educational standards. The Curriculum Developer shall maintain valid professional certifications and shall provide proof of such credentials upon request.
