This Purchase Order is issued by Nusantara Educational Solutions PT, headquartered in Indonesia Jakarta, to formally engage the services of Arus Pendidikan Kreatif CV as a Curriculum Developer for the design, development, and delivery of a comprehensive K-12 curriculum framework. Payment for this Purchase Order shall be made in four (4) installments via bank transfer to the Curriculum Developer's designated account, subject to acceptance of each milestone deliverable by the Buyer's Quality Assurance team in Indonesia Jakarta:
Installment 1: 30% (IDR 1,012,320,000) upon signing of this Purchase Order and commencement of work.
Installment 2: 30% (IDR 1,012,320,000) upon acceptance of Milestone M2.
Installment 3: 25% (IDR 843,600,000) upon acceptance of Milestone M3.
Installment 4: 15% (IDR 506,160,000) upon final acceptance of Milestone M5 and completion of the annual retainer period.
All payments are subject to a 30-day net payment cycle from the date of invoice issuance. Late payments shall incur a penalty of 2% per month as stipulated under Indonesian commercial law. The Curriculum Developer must issue a proper tax invoice (faktur pajak) for each installment in compliance with the Directorate General of Taxes regulations applicable in Indonesia Jakarta.
- This Purchase Order constitutes a binding agreement between the Buyer and the Curriculum Developer for the scope of work described herein. Any modifications must be documented in a written change order signed by both parties.
- The Curriculum Developer warrants that all curriculum materials, digital modules, and training content are original works free from intellectual property infringement. All deliverables shall be registered with the relevant Indonesian copyright authority (DJKI) in the name of the Buyer.
- All on-site activities, workshops, and meetings conducted under this Purchase Order shall take place in Indonesia Jakarta unless otherwise agreed in writing. Travel and accommodation expenses for the Curriculum Developer team exceeding 50 km from Jakarta Central shall be borne by the Buyer at actual cost, capped at IDR 5,000,000 per person per day.
- The Curriculum Developer shall maintain full compliance with all applicable Indonesian labor laws, data protection regulations (UU PDP No. 27/2022), and educational standards when developing curriculum content for students in the Indonesia Jakarta region.
- Confidentiality: Both parties agree to treat all proprietary information exchanged under this Purchase Order as strictly confidential. The Curriculum Developer shall not disclose the Buyer's internal educational strategies, student data, or institutional plans to any third party.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials and the Buyer shall pay for completed and accepted work only.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation in Indonesia Jakarta. If unresolved within 30 days, the matter shall be submitted to the Commercial Court of Jakarta (Pengadilan Negeri Jakarta Pusat) for adjudication under Indonesian law.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or public health emergencies affecting operations in Indonesia Jakarta, provided that written notice is given within 5 business days of the event.
By signing below, both parties acknowledge and accept all terms, conditions, pricing, and deliverables specified in this Purchase Order for the engagement of the Curriculum Developer in the Indonesia Jakarta region. This document is valid for a period of 90 days from the date of issue, after which a new Purchase Order must be generated if the engagement has not commenced.
