  1. Payment Schedule: Payment for this Purchase Order shall be disbursed in three equal installments: 40% upon contract execution, 40% upon delivery of all curriculum frameworks and manuals, and 20% upon successful completion of the pilot phase and final acceptance by the Tehran Provincial Education & Training Authority. All payments shall be made via bank transfer to the account of the Curriculum Developer as registered with the Central Bank of Iran.
  2. Delivery and Timeline: The Curriculum Developer shall complete all deliverables within a period of eight (8) calendar months from the date of this Purchase Order. All materials must be submitted to the designated office in District 1, Tehran, Iran, in both Persian (Farsi) and English languages.
  3. Quality Standards: All curriculum materials produced by the Curriculum Developer must comply with the national educational standards set forth by the Ministry of Education of the Islamic Republic of Iran and must undergo a minimum of two rounds of peer review by appointed academic panels in Tehran before final acceptance.
  4. Intellectual Property: Upon full payment, all intellectual property rights to the developed curricula, manuals, and assessment instruments shall transfer to the Tehran Provincial Education & Training Authority. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
  5. Compliance with Local Regulations: This Purchase Order is governed by the Civil Code of the Islamic Republic of Iran and the Public Procurement Law. All parties agree to resolve any disputes through the competent courts in Tehran, Iran. The Curriculum Developer must hold a valid business license (Jabranameh) issued by the Tehran Chamber of Commerce, Industries, Mining, and Agriculture.
  6. Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, institutional information, and proprietary educational content encountered during the execution of this Purchase Order in Iran Tehran.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and documented up to the termination date.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Tehran, Iran.

This Purchase Order constitutes a binding procurement commitment for the engagement of the named Curriculum Developer to deliver educational curriculum services within the jurisdiction of Iran Tehran.
