Terms and Conditions
  1. Scope of Engagement: This Purchase Order authorizes the procurement of a qualified Curriculum Developer whose primary responsibility shall be the creation, adaptation, and continuous improvement of educational curricula for all public and accredited private schools within the geographic and administrative boundaries of Israel Jerusalem. The Curriculum Developer shall report directly to the Director of Academic Procurement at the Jerusalem Municipal Education Authority.
  2. Compliance with Israeli Standards: All curriculum materials developed under this Purchase Order must strictly adhere to the guidelines, pedagogical standards, and regulatory requirements established by the State of Israel Ministry of Education. The Curriculum Developer shall ensure that all content is culturally sensitive, historically accurate, and appropriate for the diverse communities residing in Israel Jerusalem, including Jewish, Arab, and Druze populations.
  3. Delivery Schedule: The Curriculum Developer shall submit the complete curriculum framework within ninety (90) calendar days from the date of this Purchase Order. Subsequent deliverables, including lesson plan modules, assessment instruments, and training materials, shall be delivered in accordance with the milestone schedule attached as Appendix A to this Purchase Order. All deliverables are intended for immediate deployment across educational institutions in Israel Jerusalem.
  4. Payment Terms: Payment shall be made in four (4) equal quarterly installments of ILS 189,980.00 (inclusive of VAT), due within thirty (30) days of the end of each calendar quarter. The first installment shall be due upon successful completion of the initial curriculum framework review. All payments shall be processed via bank transfer to the account designated by Levant Educational Solutions Ltd. in accordance with Israeli tax and financial regulations.
  5. Intellectual Property: All curriculum materials, lesson plans, assessment tools, and pedagogical frameworks developed under this Purchase Order shall become the exclusive property of the Jerusalem Municipal Education Authority upon full payment. The Curriculum Developer retains the right to reference the work in professional portfolios but shall not reproduce, distribute, or license the materials to third parties without written consent from the Purchasing Party.
  6. Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, institutional strategies, and proprietary information encountered during the course of work in Israel Jerusalem. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience by the Purchasing Party, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination. Termination for cause may be executed immediately upon written notice if the Curriculum Developer fails to meet the quality standards or delivery timelines specified herein.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved through arbitration in Jerusalem, Israel, in accordance with the rules of the Israel Arbitration Association. The seat of arbitration shall be in Israel Jerusalem.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the region of Israel Jerusalem.
  10. Acceptance: This Purchase Order becomes effective upon signature by both authorized representatives. The Curriculum Developer shall commence work within five (5) business days of the effective date. All communications regarding this Purchase Order shall be directed to the contact persons listed above.
