Payment for the services rendered under this Purchase Order shall be made in five (5) equal installments of ILS 128,148.00 (inclusive of 18% VAT), due within thirty (30) calendar days of the Buyer's written acceptance of each corresponding milestone deliverable. All payments shall be transferred via bank wire to the account of Levant Educational Design & Consulting Ltd. at Bank Hapoalim, Tel Aviv branch, Account No. 002-447-881-203, SWIFT: POBIIlIL. The Curriculum Developer shall submit a formal invoice referencing this Purchase Order number (PO-TLV-2025-0487) with each payment request. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law, 5731-1971.
- Governing Law: This Purchase Order and all services performed hereunder shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- Intellectual Property: All curriculum materials, frameworks, digital content, and assessment tools created by the Curriculum Developer specifically for this Purchase Order shall become the sole property of the Tel Aviv Metropolitan Education Authority upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
- Compliance with Israeli Educational Regulations: The Curriculum Developer certifies that all deliverables shall comply with the standards set forth by the Ministry of Education, Culture and Sport of Israel, the National Curriculum Council, and any applicable municipal bylaws of the Tel Aviv-Yafo Municipality.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding student data, internal school records, and proprietary pedagogical methodologies encountered during the engagement in Israel Tel Aviv. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and accepted up to the date of termination, less any applicable deductions.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or national security directives issued by the State of Israel.
- Work Location: All on-site activities, including school visits, stakeholder meetings, and teacher training workshops, shall be conducted within the Tel Aviv-Yafo municipality and its immediate metropolitan area. The Curriculum Developer is responsible for all local travel and transportation costs within Israel Tel Aviv.
- Language of Deliverables: All curriculum documents, digital modules, and training materials shall be produced in both Hebrew and English. The Curriculum Developer shall ensure that all content is culturally appropriate and sensitive to the diverse communities of Tel Aviv, including Ashkenazi, Sephardi, Mizrahi, and immigrant populations.
- Warranty: The Curriculum Developer warrants that all deliverables shall be free from factual errors, plagiarism, and material defects. A correction period of fifteen (15) business days shall apply to any identified deficiencies.
- Anti-Corruption: Both parties affirm compliance with the Israeli Anti-Corruption Law and the Prevention of Bribery of Foreign Officials Law. No kickbacks, gifts, or improper inducements shall be offered or accepted in connection with this Purchase Order.
