The Curriculum Developer is expected to possess a minimum of ten (10) years of experience in instructional design, curriculum architecture, and educational assessment. The professional shall demonstrate proven expertise in aligning learning objectives with the European Qualifications Framework (EQF) and the Italian national standards for secondary and higher education. All work performed under this Purchase Order shall be conducted in accordance with the professional standards established by the Italian Ministry of Education (Ministero dell'Istruzione e del Merito) and shall reflect the multicultural and multilingual environment characteristic of Italy Milan.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Milan, Italy Milan.
- Performance Location: All services rendered by the Curriculum Developer shall be performed at the designated offices in Italy Milan unless otherwise agreed in writing by both parties. Travel to partner institutions within the Province of Milan shall be included in the quoted prices.
- Intellectual Property: All curriculum materials, lesson plans, assessment instruments, and digital resources created by the Curriculum Developer under this Purchase Order shall become the exclusive property of Milano Educational Solutions S.r.l. upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon delivery of the core curriculum framework and lesson plans, and 30% upon final validation and acceptance. All payments shall be made via bank transfer to the account specified by the Curriculum Developer.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies disclosed during the course of this engagement in Italy Milan. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Curriculum Developer shall be compensated for all services rendered up to the date of termination, and all completed deliverables shall be transferred to the purchasing entity.
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with the Italian General Data Protection Regulation (GDPR) and the national data protection authority (Garante per la Protezione dei Dati Personali) requirements applicable in Italy Milan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Milan region.
