All payments are subject to the presentation of a valid Italian fiscal invoice (fattura elettronica) compliant with the Agenzia delle Entrate electronic invoicing system. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/1998).
5. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Naples, Italy.
- Place of Performance: All services under this Purchase Order shall be performed in Italy Naples, specifically at the Buyer's premises located at Via Toledo 214, 80132 Napoli, unless otherwise agreed in writing by both parties.
- Intellectual Property: All curriculum materials, frameworks, module specifications, and documentation produced by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
- Confidentiality: The Curriculum Developer shall maintain strict confidentiality regarding all institutional data, student information, and proprietary materials accessed during the performance of services in Naples. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with the Italian national education regulations, the Campania Regional Education Plan, and any applicable EU directives on educational standards.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, as documented by the Curriculum Developer.

- Dispute Resolution: Amicable negotiation shall be the first step in resolving any dispute. If unresolved within thirty (30) days, the matter shall be submitted to the Tribunale di Napoli for adjudication.
