All services rendered under this Purchase Order shall be executed at the primary facility of the Istituto Nazionale per la Formazione Professionale located at Via del Corso 128, 00186 Italy Rome, or at such other premises within the metropolitan area of Rome as mutually agreed in writing. The Curriculum Developer shall be required to maintain a minimum on-site presence of four (4) working days per week at the Rome, Italy premises during the active development phase. All deliverables, including curriculum documents, assessment instruments, and training materials, shall be submitted in both Italian and English to ensure compliance with the bilingual educational standards mandated for institutions operating in Italy Rome.
Payment for the services outlined in this Purchase Order shall be made via bank transfer to the account designated by EduTech Solutions S.r.l. The payment schedule is structured as follows: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon delivery and acceptance of all twelve curriculum modules; and the remaining thirty percent (30%) upon completion of the twelve-month advisory retainer period. All invoices shall reference this Purchase Order number (IT-ROME-CD-2025-0047) and shall be issued in accordance with Italian invoicing regulations (fatturazione elettronica) as applicable to transactions conducted in Italy Rome.
- Qualification Requirement: The Curriculum Developer engaged under this Purchase Order must hold a minimum of a Master's degree in Education, Instructional Design, or a related discipline, and possess at least eight (8) years of documented experience in curriculum development for vocational and professional training programs in Italy or equivalent European contexts.
- Compliance with Italian Law: All work performed by the Curriculum Developer shall comply with the Italian Constitution, the national education law (Legge 53/2003 and subsequent amendments), and all applicable regulations governing educational content in Italy Rome.
- Intellectual Property: Upon full payment, all curriculum materials, frameworks, assessment tools, and digital content created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Istituto Nazionale per la Formazione Professionale. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Curriculum Developer shall maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies encountered during the performance of services in Italy Rome. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Timeline: The initial curriculum development phase shall be completed within ninety (90) calendar days from the date of this Purchase Order. The instructor training workshops shall be conducted no later than one hundred twenty (120) days from the issue date. The advisory retainer shall commence immediately upon acceptance of the final curriculum deliverables.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials to the institution in Rome, Italy, and shall be compensated for services rendered up to the date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Rome, Italy.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of Rome, Italy.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Curriculum Developer confirms readiness to commence work in Italy Rome within five (5) business days of the effective date of this document. This Purchase Order constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the procurement of Curriculum Developer services for the institution's vocational training programs in Rome, Italy.
