5. Payment Terms

Advance Payment (30%): XOF 32,220,000 – payable within 15 business days of acceptance of this Purchase Order, via bank transfer to the Curriculum Developer's designated account at BICICI, Abidjan.
Milestone Payment (40%): XOF 42,960,000 – payable upon delivery and approval of the complete curriculum framework (Items 01–03) by the IPNA review committee in Abidjan.
Completion Payment (20%): XOF 21,480,000 – payable upon successful completion of all teacher training workshops and digital platform deployment (Items 04–05).
Retention (10%): XOF 10,740,000 – released 12 months after final delivery, subject to satisfactory performance of the ongoing support service (Item 07).
All payments are subject to a 18% withholding tax (retenue à la source) as mandated by the Ivorian tax code. The Curriculum Developer shall provide valid tax receipts for each transaction.

7. Terms and Conditions

This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire. Any disputes arising from this engagement shall be resolved through the competent courts of Abidjan, Ivory Coast.
The Curriculum Developer warrants that all deliverables shall be original, free from intellectual property infringement, and compliant with the Ivorian Ministry of National Education's regulatory framework.
The Curriculum Developer shall maintain professional liability insurance with a minimum coverage of XOF 50,000,000 throughout the duration of this contract.
All project documentation, data, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Institut Pédagogique National d'Abidjan upon full payment.
The Curriculum Developer shall comply with all applicable labor laws in Ivory Coast Abidjan, including fair compensation for any local staff or consultants engaged in the project.
Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Curriculum Developer shall be compensated for work completed and documented up to the termination date.
All communications regarding this Purchase Order shall be conducted in French or English and directed to the contact persons listed in Sections 1 and 2 above.
The Curriculum Developer shall submit monthly progress reports to the IPNA Director's office in Abidjan, detailing milestones achieved, challenges encountered, and revised timelines if applicable.

8. Acceptance and Authorization
