All prices are quoted in Japanese Yen (JPY) and are inclusive of applicable consumption tax (10%) as mandated by the National Tax Agency of Japan. No additional charges shall apply unless explicitly authorized in writing by the Purchasing Party.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Curriculum Developer within five (5) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under Japanese commercial law (Civil Code, Article 521).
- Performance Location: All Curriculum Developer services, including on-site consultations, teacher training workshops, and implementation oversight, shall be conducted primarily at the designated partner institutions located within the Japan Kyoto prefecture. The Curriculum Developer shall bear all travel and accommodation costs within the Kyoto metropolitan area.
- Intellectual Property: All curriculum materials, frameworks, assessment tools, and digital content developed under this Purchase Order shall become the exclusive intellectual property of the Kyoto International Education Consortium upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Quality Assurance: The Curriculum Developer shall submit all deliverables for review in accordance with the milestone schedule attached as Appendix A. Each deliverable must receive written approval from the Procurement Director before the next phase commences. Revisions shall be provided at no additional cost if the work does not meet the specifications outlined in this Purchase Order.
- Payment Schedule: Payment shall be made in three installments: 30% upon contract execution, 50% upon completion of all curriculum modules and teacher training materials, and 20% upon successful completion of the 12-month consultation period. Payments shall be processed via bank transfer to the account specified by the Curriculum Developer.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, institutional strategies, and proprietary information encountered during the execution of this Purchase Order in Japan Kyoto. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall deliver all completed work product and receive proportional compensation for services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with the Kyoto District Court designated as the exclusive venue for any disputes arising from this agreement.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, including but not limited to earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region, provided that the affected party notifies the other within 48 hours of the event.
The Curriculum Developer is required to conduct all in-person engagements in accordance with Japanese business etiquette and professional norms. All curriculum content must reflect the cultural heritage, historical significance, and contemporary educational priorities of the Japan Kyoto region. The Curriculum Developer shall coordinate with the Kyoto Prefectural Board of Education to ensure full compliance with regional academic standards and shall incorporate local community input through structured feedback sessions held at the Consortium's headquarters in Higashiyama-ku, Kyoto.
