3. TERMS AND CONDITIONS
  • Payment Terms: Payment shall be made in quarterly installments within 30 days of invoice receipt. The first installment of 25% is due upon execution of this Purchase Order. The remaining 75% shall be distributed in three equal quarterly payments. All payments shall be made via bank transfer to the supplier's designated account in Japan Tokyo.
  • Delivery & Implementation: The Curriculum Developer shall deliver all curriculum materials, digital assets, and training documentation in phases. Phase 1 (Months 1-3) will focus on needs assessment and framework design. Phase 2 (Months 4-8) will cover content development and pilot testing. Phase 3 (Months 9-12) will involve full implementation, teacher training, and final evaluation. All deliverables must be submitted to the Tokyo Educational Innovation Institute office in Shibuya, Japan Tokyo.
  • Performance Standards: The Curriculum Developer is expected to adhere to the quality benchmarks set forth in the attached Statement of Work. All curriculum materials must comply with MEXT regulations and the institute's internal academic standards. Failure to meet milestones may result in a 5% penalty per week of delay, up to a maximum of 20% of the total Purchase Order value.
  • Intellectual Property: All curriculum materials, lesson plans, assessments, and digital content created by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Tokyo Educational Innovation Institute upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
  • Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies shared during the course of this engagement in Japan Tokyo. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  • Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Curriculum Developer shall deliver all work-in-progress materials, and the Buyer shall compensate for services rendered up to the termination date.
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in Japan Tokyo.
4. AUTHORIZATION & SIGNATURES

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Curriculum Developer in Japan Tokyo. This document constitutes a binding agreement effective from the date of the last signature.
