- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and applicable commercial legislation in force in Kazakhstan Almaty.
- Payment Schedule: 30% advance upon signing of this Purchase Order; 40% upon approval of the final Curriculum Developer framework (Milestone M3); 30% upon completion of all deliverables and advisory period (Milestone M5). All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the supplier's account in Kazakhstan Almaty.
- Intellectual Property: All curriculum materials, frameworks, and digital resources developed by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Almaty International Education Consortium upon full payment.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all proprietary data, student information, and institutional strategies encountered during the engagement in Kazakhstan Almaty.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Almaty, Kazakhstan Almaty, in accordance with the rules of the Arbitration Center of the Astana International Financial Centre.
- Compliance: The Curriculum Developer shall comply with all labor, tax, and educational regulations applicable in the Republic of Kazakhstan, including those enforced in Kazakhstan Almaty.
