- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be rendered by the appointed Curriculum Developer in accordance with the scope outlined in Section 3.
- The Curriculum Developer shall be a certified professional with a minimum of five (5) years of experience in curriculum design within the Kenyan education system and shall hold a valid KICD accreditation or equivalent qualification recognized by the Ministry of Education, Kenya Nairobi.
- All deliverables shall be produced in both English and Kiswahili to ensure accessibility across the diverse student population in Kenya Nairobi. Digital copies shall be provided in PDF and editable Word formats.
- Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of Line Items 1–3, and 30% upon final delivery and KICD approval. All payments shall be made via bank transfer to the Supplier's designated account in Kenya Nairobi.
- The Curriculum Developer shall comply with all data protection requirements under the Data Protection Act, 2019 of Kenya, particularly regarding student data collected during the pilot implementation phase in Kenya Nairobi schools.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties. No additional charges shall be incurred without prior written approval from the Buyer.
- The Supplier warrants that all curriculum materials developed shall be original, free from intellectual property infringement, and shall not replicate content from any existing published curriculum without proper licensing.
- Disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. If mediation fails, the matter shall be referred to the High Court of Kenya, Nairobi.
- This Purchase Order is governed by the laws of the Republic of Kenya. All notices shall be sent to the addresses specified in Sections 1 and 2.
- The Curriculum Developer shall maintain professional indemnity insurance with a minimum cover of KES 5,000,000 throughout the duration of the engagement.
All physical and digital deliverables shall be submitted to the EAEDI office located in Kenya Nairobi, Westlands Business District. The Buyer shall have fourteen (14) calendar days from the date of receipt to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons for non-conformance. The Curriculum Developer shall have ten (10) business days to address any deficiencies identified during the acceptance review.
