- Scope of Work: The Curriculum Developer team engaged under this Purchase Order shall be responsible for the end-to-end development of curriculum materials as specified in the line items above. All work shall be conducted in accordance with the educational standards prescribed by the Nepal Government and shall be culturally relevant to the diverse communities of Nepal Kathmandu.
- Commencement and Timeline: Services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months. The Curriculum Developer shall submit a detailed project timeline within fourteen (14) days of the effective date of this Purchase Order.
- Payment Schedule: Payment shall be made in four (4) quarterly installments of NPR 2,038,520 each, due within thirty (30) days of the end of each quarter. The first installment shall be due upon successful commencement of services in Nepal Kathmandu.
- Deliverables: The Curriculum Developer shall submit all curriculum documents, teaching guides, assessment tools, and workshop materials in both printed and digital formats. All intellectual property created under this Purchase Order shall vest with the Himalayan Educational Development Foundation upon full payment.
- Performance Standards: The Curriculum Developer shall maintain a minimum of 90% attendance at all scheduled stakeholder meetings, school visits, and review sessions in Nepal Kathmandu. Failure to meet performance benchmarks for two consecutive months shall constitute grounds for termination with a thirty-day notice period.
- Confidentiality: All data, student information, and proprietary educational content accessed by the Curriculum Developer during the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from the purchasing entity.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. Any disputes arising from this agreement shall be resolved through arbitration in Nepal Kathmandu in accordance with the Nepal Arbitration Act.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government policy changes, or other events beyond reasonable control, provided that written notice is given within seven (7) days of the occurrence.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. Upon termination, the Curriculum Developer shall deliver all completed and in-progress work products to the purchasing entity within fifteen (15) days.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments shall be executed in Nepal Kathmandu.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Curriculum Developer services in Nepal Kathmandu. This document constitutes a binding agreement between the parties upon execution.
