The Curriculum Developer engaged under this Purchase Order shall possess a minimum of a Master's degree in Curriculum and Instruction, Educational Technology, or a related field, with no fewer than ten (10) years of documented experience in curriculum design, instructional materials development, and educational assessment. The Curriculum Developer must demonstrate prior experience working within the Nigerian educational context, including familiarity with the Universal Basic Education (UBE) framework and the Senior Secondary School (SSS) curriculum structure.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with jurisdiction vested in the Federal High Court, Nigeria Abuja.
- Performance Bond: The Curriculum Developer shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, issued by a Tier-1 bank domiciled in Nigeria Abuja, prior to commencement of work.
- Intellectual Property: All curriculum materials, frameworks, assessments, and training modules developed under this Purchase Order shall become the exclusive property of the Federal Ministry of Education, Nigeria Abuja, upon full payment.
- Confidentiality: The Curriculum Developer shall maintain strict confidentiality regarding all proprietary data, student records, and internal government documents accessed during the execution of this Purchase Order.
- Compliance: The Curriculum Developer shall comply with all applicable regulations of the Nigerian Educational Research and Development Council (NERDC), the Federal Ministry of Education, and the Nigeria Abuja local government education authority.
- Payment Schedule: Payments shall be made in five (5) equal installments of NGN 4,800,000 each, disbursed upon satisfactory acceptance of each deliverable milestone as verified by the Project Oversight Committee in Nigeria Abuja.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Curriculum Developer shall be compensated for all work completed and verified up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Nigeria Abuja. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- Anti-Corruption: The Curriculum Developer warrants that no part of the funds under this Purchase Order shall be used for any corrupt, fraudulent, or collusive practice in violation of the Nigerian Anti-Corruption Act.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Nigeria Abuja.
