- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. All disputes arising from this Purchase Order related to the Curriculum Developer engagement in Qatar Doha shall be resolved through arbitration in Doha, Qatar, in accordance with the Qatar Arbitration Law.
- Commencement and Duration: The Curriculum Developer services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. All work shall be performed primarily at the Buyer's offices in Qatar Doha, with remote collaboration permitted as needed.
- Payment Schedule: Payment shall be made in quarterly installments of QAR 322,500.00, due within thirty (30) days of the Buyer's receipt of a valid invoice from the Seller. The final installment shall be contingent upon successful completion and acceptance of all deliverables outlined in Section 3 of this Purchase Order.
- Intellectual Property: All curriculum materials, frameworks, assessments, and digital content developed by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Seller grants the Buyer a perpetual, irrevocable, royalty-free license to use, modify, and distribute all deliverables across all Qatar Doha educational institutions.
- Compliance with Qatar Doha Regulations: The Curriculum Developer and all associated personnel must comply with all applicable laws, regulations, and educational standards of the State of Qatar, including those issued by MOEHE, the Qatar Foundation, and the Qatar Doha municipal authorities. All content must be culturally appropriate and aligned with the values of the Qatari society.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies shared during the execution of this Purchase Order. This obligation shall survive the termination of the engagement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all Curriculum Developer services rendered up to the date of termination, and the Seller shall deliver all completed and in-progress work products.
- Insurance and Liability: The Seller shall maintain professional indemnity insurance with a minimum coverage of QAR 2,000,000.00 throughout the duration of this Purchase Order. The Seller shall be liable for any damages arising from negligence or failure to meet the agreed-upon curriculum standards in Qatar Doha.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Qatar Doha.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Curriculum Developer in Qatar Doha. This document constitutes a binding agreement upon execution by both authorized representatives.
