This Purchase Order is issued by Northern Capital Educational Consortium LLC (hereinafter referred to as the "Buyer") to St. Petersburg Academic Solutions Group OOO (hereinafter referred to as the "Supplier") for the engagement of a qualified Curriculum Developer to design, develop, and deliver a comprehensive educational curriculum framework. The services described in this Purchase Order shall be performed exclusively within the jurisdiction of Russia Saint Petersburg and shall comply with all applicable federal and municipal educational regulations governing the region.

The Curriculum Developer engaged under this Purchase Order shall possess a minimum of ten (10) years of professional experience in instructional design, pedagogical methodology, and curriculum architecture. The Curriculum Developer must hold a recognized postgraduate degree in Education, Curriculum Studies, or a closely related discipline from an accredited institution within the Russian Federation. All deliverables produced by the Curriculum Developer shall be tailored to the specific academic standards and cultural context of Russia Saint Petersburg, ensuring alignment with the Federal State Educational Standards (FSES) and the municipal educational strategy of the city.

All prices are quoted in Russian Rubles (RUB) and are inclusive of all applicable local taxes in Russia Saint Petersburg unless otherwise stated. The total amount under this Purchase Order is fixed for the duration of the contract period.

All services and deliverables specified in this Purchase Order shall be executed at the Buyer's designated facilities located in Russia Saint Petersburg, unless otherwise agreed in writing. The Curriculum Developer shall adhere to the following milestone schedule:

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule:

• 30% advance payment (RUB 1,517,400) within ten (10) business days of mutual signature of this Purchase Order.
• 40% progress payment (RUB 2,023,200) upon Buyer's written acceptance of Milestones M2 and M3.
• 30% final payment (RUB 1,517,400) upon completion of Milestone M5 and successful handover of all deliverables.

All payments shall be remitted via bank transfer to the Supplier's designated account in Russia Saint Petersburg. The Buyer reserves the right to withhold payment for any deliverable that does not meet the quality specifications outlined in this Purchase Order until corrective action is completed to the Buyer's satisfaction.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration in Russia Saint Petersburg in accordance with the rules of the Arbitration Court of the City of Saint Petersburg.
2. Intellectual Property: All curriculum materials, lesson plans, digital content, and proprietary frameworks created by the Curriculum Developer under this Purchase Order shall become the exclusive intellectual property of the Buyer upon full payment. The Curriculum Developer shall not reproduce, distribute, or license any portion of the deliverables to third parties without prior written consent.
3. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies shared during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Compliance: The Curriculum Developer shall ensure that all educational content complies with the Federal Law on Education in the Russian Federation, the municipal educational regulations of Russia Saint Petersburg, and all applicable data protection laws (including Federal Law No. 152-FZ on Personal Data).
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination. The Curriculum Developer shall deliver all work-in-progress materials to the Buyer within fourteen (14) days of the termination notice.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Russia Saint Petersburg.
7. Warranty: The Curriculum Developer warrants that all deliverables shall be free from material defects in design, methodology, and pedagogical accuracy for a period of twelve (12) months from the date of final acceptance. Any defects identified within this warranty period shall be corrected at no additional cost to the Buyer.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order.
