The Curriculum Developer must hold a Master's degree or higher in Curriculum and Instruction, Educational Leadership, or a closely related field. Fluency in both Arabic and English is mandatory, as all curriculum materials produced under this Purchase Order must be bilingual to serve the diverse student population in Saudi Arabia Riyadh.

4. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the Saudi Center for Commercial Arbitration (SCCA) rules.
  2. Payment Terms: Payment shall be made in four (4) equal installments of SAR 221,375.00 (VAT inclusive), due within thirty (30) days of the Buyer's written acceptance of each completed phase. The first installment shall be due upon execution of this Purchase Order. All payments shall be made via bank transfer to the Supplier's designated account in Saudi Arabia Riyadh.
  3. Timeline: The Curriculum Developer shall commence work no later than 1 July 2025 and shall complete all deliverables by 31 December 2025. Any delay beyond the agreed timeline, not attributable to force majeure, shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
  4. Intellectual Property: All curriculum materials, frameworks, assessments, and documentation produced by the Curriculum Developer under this Purchase Order shall become the exclusive property of the Al-Riyadh Educational Development Authority upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios but may not reproduce or distribute materials without written consent.
  5. Compliance: The Curriculum Developer shall comply with all applicable Saudi Arabian labor laws, data protection regulations (including the Saudi Personal Data Protection Law), and educational standards set forth by the Ministry of Education. All on-site work conducted in Saudi Arabia Riyadh shall adhere to local cultural norms and workplace regulations.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and institutional strategies disclosed during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all work completed and accepted up to the date of termination, and all deliverables in progress shall be handed over to the Buyer.
  8. Insurance and Liability: The Curriculum Developer shall maintain professional indemnity insurance with a minimum coverage of SAR 1,000,000 for the duration of this Purchase Order. The Supplier shall be liable for any damages arising from negligence or failure to meet the specified quality standards.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Saudi Arabia Riyadh.
5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Curriculum Developer services in Saudi Arabia Riyadh.
