- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Public Procurement Code (Code des Marchés Publics) and all applicable regulations of the Ministry of National Education in Senegal Dakar.
- Intellectual Property: All Curriculum Developer work products, including but not limited to curricula, lesson plans, assessment tools, manuals, and digital content, shall become the exclusive property of the Republic of Senegal upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
- Confidentiality: The Curriculum Developer and all associated personnel shall maintain strict confidentiality regarding student data, internal Ministry documents, and proprietary pedagogical strategies encountered during the engagement in Senegal Dakar. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Performance Standards: The Curriculum Developer shall adhere to the quality benchmarks established by the Senegalese national education authority. Failure to meet deliverable deadlines by more than fifteen (15) business days without written justification may result in a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total contract value.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the Ministry, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination. In the event of termination for cause, no further payment shall be due beyond the value of accepted deliverables.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Senegal Dakar or the broader West African region.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the competent courts of Dakar, Senegal, or to arbitration under the rules of the West African Court of Justice, at the election of the Ministry.
- Compliance: The Curriculum Developer warrants that all services rendered under this Purchase Order shall comply with all applicable labor laws, tax obligations, and professional licensing requirements in Senegal Dakar. The vendor shall maintain all necessary professional insurance coverage throughout the duration of the engagement.
