This Purchase Order is issued to engage the services of a qualified Curriculum Developer to design, develop, and deliver a comprehensive academic curriculum framework for the 2025/2026 academic year at Soweto International College of Education, Johannesburg. The Curriculum Developer shall align all materials with the South African National Curriculum Framework (CAPS) as prescribed by the Department of Basic Education, Republic of South Africa, and ensure compliance with the Quality Council for Trades and Occupations (QCTO) standards where applicable. The Curriculum Developer is expected to conduct all on-site work at the institution's premises in Braamfontein, Johannesburg, and to coordinate with the Academic Board located in Sandton, Johannesburg, for review sessions.

- This Purchase Order is governed by the laws of the Republic of South Africa and shall be interpreted in accordance with the South African Consumer Protection Act (Act 68 of 2008) and the National Treasury Regulations.
- The Curriculum Developer shall be a registered South African company in good standing with the Companies and Intellectual Property Commission (CIPC) and shall maintain all necessary professional indemnity insurance throughout the duration of this engagement.
- All deliverables must comply with the South African National Curriculum Framework (CAPS) and any amendments issued by the Department of Basic Education, Republic of South Africa. The Curriculum Developer shall bear the cost of any rework required to achieve compliance.
- Payment shall be made in South African Rand (ZAR) via electronic funds transfer (EFT) to the Curriculum Developer's designated bank account in Johannesburg. Invoices must be submitted within five (5) business days of milestone completion.
- The Curriculum Developer shall not subcontract any portion of the work without prior written consent from the Buyer. All on-site work in Johannesburg shall be conducted during normal business hours (08:00–17:00, Monday to Friday).
- Intellectual property rights for all curriculum materials developed under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written approval.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for work completed and documented up to the date of termination.
- All disputes arising from this Purchase Order shall be resolved through mediation in Johannesburg, South Africa, in accordance with the Arbitration Act 42 of 1967, before escalation to the Magistrate's Court of Johannesburg.
- The Curriculum Developer shall comply with all applicable South African labour laws, including the Basic Conditions of Employment Act and the Occupational Health and Safety Act, for any personnel deployed to the Johannesburg campus.
- This Purchase Order does not constitute a permanent employment relationship. The Curriculum Developer is an independent contractor and is responsible for their own tax obligations, including PAYE and UIF contributions as required by South African law.
By signing below, both parties acknowledge and accept the terms, conditions, scope of work, and pricing set forth in this Purchase Order for the engagement of the Curriculum Developer in Johannesburg, South Africa.
