This Purchase Order authorizes the procurement of professional Curriculum Developer services to be delivered, executed, and completed within the jurisdiction of South Korea Seoul. 4.1 This Purchase Order is governed by and shall be construed in accordance with the Commercial Act of the Republic of Korea and all applicable regulations of the Seoul Metropolitan Government. Any disputes arising from this Purchase Order shall be resolved through arbitration in South Korea Seoul under the rules of the Korea Commercial Arbitration Board (KCAB).

4.2 The Curriculum Developer shall maintain all work products, drafts, and intellectual property generated under this Purchase Order in secure facilities located within South Korea Seoul. No portion of the curriculum materials shall be stored, processed, or transmitted outside the borders of the Republic of Korea without prior written consent from the Buyer.

4.3 Payment shall be made in Korean Won (KRW) via bank transfer to the account designated by the Seller. Invoices must be submitted to the procurement office of the Seoul Metropolitan Education Development Institute, located in Jung-gu, South Korea Seoul, no later than the 5th business day following completion of each milestone.

4.4 The Curriculum Developer is required to conduct all on-site meetings, workshops, and review sessions at the Buyer's designated facility in South Korea Seoul or at mutually agreed-upon venues within the Seoul metropolitan area. Travel and accommodation expenses for the Curriculum Developer team, when required, shall be borne by the Buyer in accordance with the Seoul Metropolitan Government travel and expense policy.

4.5 All curriculum content developed under this Purchase Order must undergo a cultural and linguistic review by a panel of three (3) certified educators based in South Korea Seoul prior to final approval. The Curriculum Developer shall incorporate all feedback from this review panel within fifteen (15) business days.

4.6 The Seller warrants that the Curriculum Developer team assigned to this Purchase Order possesses a minimum of eight (8) years of experience in curriculum design for the Korean K-12 education system and holds valid professional certifications recognized by the Ministry of Education of the Republic of Korea.

4.7 This Purchase Order may be amended only by mutual written agreement of both parties. Any modification to the scope of the Curriculum Developer engagement, the delivery schedule, or the payment structure must be documented in a formal amendment annexed to this Purchase Order and countersigned by authorized representatives of both the Buyer and the Seller in South Korea Seoul.

4.8 In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting South Korea Seoul, either party may suspend performance obligations under this Purchase Order for a period not exceeding sixty (60) days without penalty. Written notice must be provided within five (5) business days of the occurrence.
