- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Spain and the applicable commercial regulations of the Comunidad de Madrid. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Spain Madrid.
- Delivery and Timeline: The Curriculum Developer shall deliver all project milestones within the timeframe specified in the attached project schedule. The final curriculum package must be delivered no later than 30 November 2025 to the offices of the Purchasing Entity located in Spain Madrid.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of the core curriculum framework, and 30% upon final acceptance and accreditation approval. All payments shall be processed via bank transfer to the account specified by the Curriculum Developer.
- Intellectual Property: All curriculum materials, lesson plans, assessment instruments, and digital content created under this Purchase Order shall become the exclusive property of Instituto Educativo Madrid Excellence S.L. upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Compliance: The Curriculum Developer warrants that all deliverables shall comply with the Organic Law 3/2020 (LOMLOE), the Madrid regional education decrees, and all applicable data protection regulations (GDPR and Spain's LOPDGDD). The Curriculum Developer shall maintain all necessary professional certifications valid in Spain Madrid.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of the contract for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Spain Madrid.
- Warranty: The Curriculum Developer provides a twelve-month warranty on all deliverables. Any defects in curriculum design, pedagogical alignment, or compliance with Spanish educational standards discovered within this period shall be corrected at no additional cost.
