- Acceptance: This Purchase Order becomes binding upon written acceptance by the Curriculum Developer within five (5) business days of the date of issue. Failure to respond within this period shall be considered a declination of this Purchase Order.
- Timeline: The Curriculum Developer shall commence work within ten (10) business days of Purchase Order acceptance. The full project timeline spans fourteen (14) months, with milestone deliverables due as specified in the attached project schedule. All work shall be conducted primarily in Sri Lanka Colombo, with the Curriculum Developer maintaining a dedicated workspace at the vendor's Temple Road office.
- Payment Schedule: Payment shall be made in four (4) installments: 25% upon Purchase Order acceptance, 35% upon completion of the curriculum framework (Item 02), 30% upon delivery of all lesson plans and the digital platform (Items 03 and 04), and 10% upon successful completion of the 12-month review period (Item 06). All payments shall be processed via bank transfer to the account designated by the Curriculum Developer.
- Intellectual Property: All curriculum materials, frameworks, lesson plans, and digital assets developed under this Purchase Order shall become the exclusive property of the Sri Lanka National Education Development Authority upon full payment. The Curriculum Developer shall not reproduce, distribute, or license these materials to any third party in Sri Lanka Colombo or internationally without written consent.
- Quality Assurance: The Curriculum Developer shall submit all deliverables for review by the SLNEDA Academic Review Board. Revisions shall be completed within ten (10) business days of receiving feedback. The Curriculum Developer guarantees that all content meets the Sri Lanka national curriculum standards and is appropriate for the Sri Lanka Colombo educational environment.
- Confidentiality: The Curriculum Developer shall maintain strict confidentiality regarding all student data, institutional information, and proprietary educational strategies encountered during the course of this engagement in Sri Lanka Colombo. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination, as verified by the SLNEDA project manager.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Sri Lanka Arbitration Act.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government policy changes affecting Sri Lanka Colombo education, or public health emergencies.
