- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (Obligationenrecht, OR) and applicable federal and cantonal education legislation of the Canton of Zurich. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
- Intellectual Property: All curriculum materials, designs, assessments, and digital content developed under this Purchase Order by the Curriculum Developer shall become the exclusive property of Zurich Educational Innovation GmbH upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary educational data, student information, and internal pedagogical strategies shared during the course of this engagement in Switzerland Zurich. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of Milestone 2, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer in Swiss Francs (CHF) to the account specified in Section 2.
- Acceptance and Rejection: The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons. The Curriculum Developer shall have ten (10) business days to remedy any deficiencies.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or strikes, in accordance with Articles 119 and 182 of the Swiss Code of Obligations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and materials delivered up to the date of termination.
- Compliance: The Curriculum Developer warrants that all deliverables comply with Swiss data protection regulations (DSG/FADP), the Swiss Federal Act on Data Protection, and all applicable educational standards set forth by the Conference of Swiss Ministers of Education (EDK).
- Anti-Corruption: Both parties confirm compliance with the Swiss Federal Act against Bribery of Foreign Public Officials and applicable anti-corruption legislation in Switzerland.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for Curriculum Developer services to be executed in Switzerland Zurich.
