The Curriculum Developer shall be responsible for aligning all instructional materials with the Thai Ministry of Education's Basic Education Core Curriculum B.E. 2551 (2008) and its subsequent amendments, while simultaneously integrating international best practices in pedagogy, assessment design, and learner-centered instruction.

1. Payment Terms: Payment shall be made in four (4) equal installments of THB 1,447,175 each, due within thirty (30) days of the invoice date. The first installment is due upon acceptance of this Purchase Order by both parties. Subsequent installments are tied to milestone completions as outlined in the attached Statement of Work.
2. Delivery and Location: All services, deliverables, and on-site activities related to this Purchase Order shall be performed at the designated Thailand Bangkok campuses unless otherwise agreed in writing. The Curriculum Developer is expected to be physically present at the primary Bangkok office (Sukhumvit Road) a minimum of four (4) days per week.
3. Intellectual Property: All curriculum materials, lesson plans, assessment instruments, and digital assets created by the Curriculum Developer under this Purchase Order shall become the exclusive property of Siam Educational Excellence Group Co., Ltd. upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary educational data, student information, and internal operational details encountered during the course of this engagement in Thailand Bangkok. This obligation survives the termination of this Purchase Order for a period of five (5) years.
5. Compliance: The Curriculum Developer shall comply with all applicable Thai laws and regulations, including the Thai Labour Protection Act B.E. 2541 (1998), the Personal Data Protection Act B.E. 2562 (2019), and all directives issued by the Office of the Basic Education Commission (OBEC) in Thailand Bangkok.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Curriculum Developer shall deliver all completed work product and provide a full handover report within fifteen (15) days of the termination effective date.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Thai Arbitration Institute in Bangkok, Thailand. The governing law shall be the laws of the Kingdom of Thailand.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Thailand Bangkok region.
