This Purchase Order is issued by the Abu Dhabi Education & Training Authority to engage a qualified Curriculum Developer to design, develop, and deliver a comprehensive K-12 curriculum framework aligned with the UAE National Education Strategy 2030. The Curriculum Developer shall operate out of the designated office premises located in United Arab Emirates Abu Dhabi and shall report directly to the Director of Academic Programs. All deliverables under this Purchase Order must comply with the regulatory standards set forth by the Abu Dhabi Department of Education and Knowledge (ADEK) and the Council for Curriculum and Academic Affairs (CCAA).

Payment for this Purchase Order shall be made in the following installments, all processed via bank transfer to the account of Gulf Academic Solutions LLC held at Emirates NBD Bank, United Arab Emirates Abu Dhabi branch:

• Milestone 1 (20%): AED 120,750.00 – Due upon successful completion and acceptance of the needs assessment (Item 01).
• Milestone 2 (35%): AED 211,312.50 – Due upon delivery of all curriculum frameworks and teacher guidebooks (Items 02 and 03).
• Milestone 3 (25%): AED 150,937.50 – Due upon completion of assessment instruments and delivery of all four professional development workshops (Items 04 and 05).
• Milestone 4 (20%): AED 120,750.00 – Due upon final acceptance of pilot implementation results and ADEK compliance certification (Items 06 and 07).

All payments are subject to a 30-day payment cycle from the date of invoice issuance. Late payments shall accrue interest at the rate of 2% per month as stipulated under UAE commercial law.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Civil Code of the UAE.
• The Curriculum Developer shall maintain all work products, drafts, and intellectual property in the custody of the Purchasing Entity. Upon full payment, all intellectual property rights in the developed curriculum materials shall vest exclusively in the Abu Dhabi Education & Training Authority.
• The Curriculum Developer shall comply with all data protection regulations under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data when handling student or teacher information.
• Any disputes arising from this Purchase Order shall be resolved through arbitration in United Arab Emirates Abu Dhabi in accordance with the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC).
• The Curriculum Developer shall not subcontract any portion of the work without prior written consent from the Purchasing Entity.
• Force majeure events, including but not limited to government-mandated closures in United Arab Emirates Abu Dhabi, shall extend the delivery timeline on a day-for-day basis without penalty to either party.
• This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
