The engagement of the Curriculum Developer is governed by the terms set forth in this Purchase Order and the attached Statement of Work (SOW). All deliverables must comply with the standards established by the Knowledge and Human Development Authority (KHDA) and the Dubai Education Sector regulations applicable in United Arab Emirates Dubai.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller. The Curriculum Developer services described herein are specific to the educational institutions of the Buyer operating in United Arab Emirates Dubai and shall not be transferred or subcontracted without prior written consent.
- Qualifications: The Curriculum Developer engaged by the Seller must hold a minimum of a Master's degree in Curriculum Design, Educational Technology, or a related field, with no fewer than eight (8) years of demonstrated experience in K-12 and post-secondary curriculum development. The Curriculum Developer must be legally authorized to work in the United Arab Emirates Dubai and hold a valid UAE residence visa or work permit.
- Compliance: All curriculum materials developed under this Purchase Order must adhere to the UAE National Curriculum Framework, KHDA inspection criteria, and the cultural and religious guidelines of the United Arab Emirates Dubai. No content shall contradict the values and laws of the UAE.
- Intellectual Property: Upon full payment, all curriculum documents, frameworks, assessments, and digital resources created by the Curriculum Developer shall become the exclusive property of the Buyer. The Seller and the Curriculum Developer retain no rights to reproduce, distribute, or license such materials without the Buyer's written permission.
- Payment Schedule: Payments shall be made in AED via bank transfer to the Seller's designated account in United Arab Emirates Dubai. Invoices shall be submitted monthly. The Buyer reserves the right to withhold payment for any deliverable not meeting the acceptance criteria outlined in the SOW.
- Confidentiality: The Curriculum Developer and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding the Buyer's proprietary educational data, student information, and institutional strategies. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Seller or the Curriculum Developer, the Buyer may terminate immediately and seek remedies under UAE law.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, disputes shall be referred to the Dubai International Financial Centre (DIFC) Courts or the Dubai Courts, as applicable, in United Arab Emirates Dubai.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government directives, natural disasters, or public health emergencies as declared by the UAE authorities in United Arab Emirates Dubai.
- Anti-Bribery: Both parties confirm compliance with UAE Federal Decree-Law No. 20 of 2016 on Anti-Money Laundering and the UAE Anti-Corruption laws. Any violation shall constitute grounds for immediate termination of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Curriculum Developer in United Arab Emirates Dubai. This document constitutes a legally binding agreement under the laws of the United Arab Emirates.
