The Curriculum Developer shall commence work no later than 01 July 2025 and complete all primary deliverables by 01 September 2025, in time for the new academic year. All on-site consultations, workshops, and stakeholder meetings shall be conducted within the United Kingdom Birmingham metropolitan area, with the primary working location being the Consortium's headquarters at 42 Corporation Street. The Curriculum Developer is required to maintain a minimum of three (3) full working days per week on-site in Birmingham during the active development phase.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by the designated Curriculum Developer or their directly supervised team members.
  2. The Curriculum Developer warrants that all curriculum materials, frameworks, and resources produced under this Purchase Order shall be original, free from intellectual property infringement, and fully compliant with the Copyright, Designs and Patents Act 1988 as applicable in the United Kingdom.
  3. Payment shall be made via BACS transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  4. The Curriculum Developer shall maintain professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
  5. All data collected during the needs analysis phase, including student demographic information and school performance data, shall be handled in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Curriculum Developer shall act as a data processor under the terms of a separate Data Processing Agreement.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination, subject to a final quality review by the Buyer.
  7. All disputes arising from this Purchase Order shall be resolved through mediation in Birmingham, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be referred to the courts of England and Wales.
  8. The Curriculum Developer shall comply with all applicable health and safety regulations, including the Health and Safety at Work etc. Act 1974, during all on-site activities within the United Kingdom Birmingham premises.
  9. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Curriculum Developer. The Curriculum Developer's services shall be deemed accepted upon written confirmation from the Buyer's Head of Academic Procurement following the completion of each milestone as outlined in the delivery schedule.
